Tender Offer

The Company announces that it has today submitted to shareholders a proposal for
the off-market purchase of up to 3,552,398 of its unlisted 'B' ordinary shares
of 10p each, at 112.6p per share, by way of tender offer to all 'B'
shareholders.  The tender offer closes at 4.00pm on 5 July 2006, following which
the company will announce the number of 'B' shares to be purchased, subject to
the approval of the requisite special resolutions at the company's annual
general meeting.
