Randeep Grewal, a director of the Company, transferred his entire shareholding
of 90,000,000 ordinary shares in the Company (representing 95.2% of the
Company's issued share capital) to Green Dragon Gas (Holdings) Limited on 26
April 2007 for no consideration. Green Dragon Gas (Holdings) Limited is
wholly-owned by Greran Ltd. which is in turn wholly owned by Codan Trust Company
Ltd., the trustee of a trust of which family members of Mr. Grewal including Mr.
Grewal are discretionary objects.
