PROPOSED ACQUISITION OF CHARTDALE LIMITED

Posting of Class 1 Shareholder Circular
Galliford Try has today posted a class 1 circular to its shareholders in
connection with the proposed Acquisition of Chartdale Limited. The circular
contains notice of an extraordinary general meeting of shareholders (the 'EGM')
to approve the Acquisition. The EGM will be held at the offices of CMS Cameron
McKenna LLP, Mitre House, 160 Aldersgate Street, London EC1A 4DD at 9.00 am on
15 February 2006.
A copy of the Circular has been submitted to the Financial Services Authority
for publication through the document viewing facility which is situated at The
Financial Services Authority, 25 North Colonnade, Canary Wharf, London E14 5HS.
Copies of the Circular are available for collection by Galliford Try
shareholders from the offices of PricewaterhouseCoopers LLP, 1 Embankment Place,
London WC2N 6RH during normal business hours on any weekday (Saturdays, Sundays
and public holidays excepted).
