Issue of Equity

Hangar8, one of Europe's largest operators of privately owned passenger jet aircraft, announces that, further to the announcement on 1 March 2012 regarding the acquisition of Star-Gate Aviation Close Corporation ("Star-Gate"), under the terms of the acquisition agreement entered into on 1 March 2012, the Company has today issued 12,823 new ordinary shares of 1 pence each (the "Star-Gate Shares") to Arthur Christopher Perry, the vendor of Star-Gate, as further consideration for the acquisition of Star-Gate.

The Star-Gate Shares rank pari passu in all respects with the Company's existing issued ordinary shares. Application has been made to the London Stock Exchange for the admission of the Star-Gate Shares to trading on AIM and it is expected that admission will occur and that dealings will commence at 8.00 a.m. on 12 April 2013.

For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules, the Company announces that following the issue of the Star-Gate Shares, the Company has 7,600,387 Ordinary Shares in issue ("Enlarged Share Capital").

The Company has no ordinary shares held in treasury. The total number of voting rights in the Company is therefore 7,600,387. This figure may therefore be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
