Headline: Company Update

The Company is a closed-ended investment company that seeks to generate returns from subordinated infrastructure debt and related and/or similar assets (the "Target Assets"). The Company achieves this by investing substantially all of its capital in GCP Infrastructure Fund Limited (the "Master Fund"), an open-ended investment company that holds the Target Assets. The Company is the majority shareholder of the Master Fund.

The board of directors of the Master Fund declared a final dividend of 4.05 pence per Ordinary Income Share which will be paid on 15 November 2012 to the holders of Ordinary Income Shares recorded on the register of members of the Master Fund on 29 October 2012. The ex-dividend date is 29 October 2012.

Based on this timetable, the Company expects to announce its dividend and relevant record and payment date on 19 November 2012.
