External Auditors
Global Ports Holding PLC has today announced that it has commenced a competitive tender process to select and formalise the appointment of external auditors in respect of the financial year ending 31 December 2018, which the directors consider good corporate governance. Deloitte have been the Company's auditors since it listed on the London Stock Exchange in May 2017 and have completed the audit of the Company's 2017 financial statements.
In light of timing constraints under the tender process, and to comply with ongoing Companies Act requirements, the Company will seek the re-appointment of Deloitte as the Group's auditors at the forthcoming AGM convened to be held on 8 May 2018.
Deloitte will be asked to resign if another firm is selected at the conclusion of the tender process and, in such circumstances, the directors are authorised to fill the resultant casual vacancy by appointing new auditors for the 2018 financial year. Any subsequent proposal to re-appoint the successful audit firm in respect of the financial year beginning 1 January 2019 will be subject to shareholder approval at the 2019 AGM.
The tender process is commenced and executed in line with the procedural requirements stipulated in the Companies Act and Financial Reporting Regulations.
