           CHANGES AT HAZLEWOOD FOODS POST ACQUISITION BY GREENCORE


Greencore Group plc ('Greencore') announces changes following its acquisition
of Hazlewood Foods plc ('Hazlewood') on 9th January, 2001:


  * Hazlewood's businesses have been decentralised into four business groups
    as follows:


  * Hazlewood Grocery;

  * Hazlewood Chilled Foods;

  * Hazlewood Prepared Meals; and

  * Hazlewood International.


    Greencore's existing Paramount Foods businesses (pizzas and sauces) are
    being integrated into the new Hazlewood structure.


  * Hazlewood's Head Office at Derby is being closed down at the end of
    March, 2001. This involves the transfer of 8 staff to the decentralised
    business groups and redundancies eventually of 42 staff.


  * The paper business F.H. Lee Limited has been sold for a consideration of
    UK£1.


  * Rowan Foods' ready meals plant at Wrexham has been sold for a
    consideration of UK£5.3m.


Commenting on these actions Greencore's chief executive David Dilger said 'As
part of our strategy for the acquisition of Hazlewood we announced that we
would be seeking cost savings, restructuring the combined businesses and
eliminating certain loss-making activities. The restructuring of Hazlewood
will assist our continuing drive for improved performance and reduce our
costs. The two disposals will eliminate substantial loss making activities and
are a good step forward in the achievement of our plans for the enlarged
Group.'
