Confirmation of Number of Applications for New Shares
As previously announced on 21 February 2017, The Royal County of Berkshire Pension Fund ("Berkshire") has agreed to conditionally subscribe for up to 2,546,372 new Ordinary Shares (less an amount of shares equal to the number of Ordinary Shares acquired by Berkshire in the market on or prior to the date of such subscription), representing, if fully subscribed, 20 per cent of the enlarged issued share capital of the Company.
Subsequent to the announcement on 21 February 2017, Berkshire has acquired, in aggregate, 295,000 ordinary shares on market. Accordingly, Gresham House is pleased to announce that application has been made for the admission to trading on AIM ("Admission") of 2,251,372 new ordinary shares of 25p each in the Company ("New Berkshire Shares") pursuant to the proposed subscription by Berkshire announced on 21 February 2017. The proposed subscription is conditional upon, inter alia, the approval of shareholders at the Company's General Meeting, which is scheduled to take place at 10.00 a.m. on 10 March 2017.
Application has also been made for 100,097 new Ordinary Shares pursuant to investment by management and employees of the Company as announced on 24 February 2017 ("Employee Shares"). The New Berkshire Shares and the Employee Shares will rank pari passu in all respects with the existing Ordinary Shares of the Company. Admission of the 21 February 2017 is expected to occur on 13 March 2017.
Following Admission, the Company's issued share capital will comprise 12,536,956 Ordinary Shares, which figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules. The Company does not hold any shares in treasury.
