Directors' Interests
I give below details of changes in directors' interests in the Ordinary Shares
of GlaxoSmithKline plc.
29 January 2001 The Administrators of the SmithKline Beecham Employee Share
Ownership Trust ('the ESOT') notified the Company on the
29th January 2001, that 78,227 Ordinary 25p shares had been
transferred from the ESOT to participants of the SmithKline
Beecham 1991 Share Option Plan.
The ESOT is a discretionary fund of which all employees or former employees of
SmithKline Beecham plc and its subsidiaries are potential beneficiaries. One
of the Company's directors, Dr J P Garnier, as a director of SmithKline
Beecham plc, is therefore, interested in the shares held in the fund from time
to time in the same way as other employees or former employees of SmithKline
Beecham plc and its subsidiaries.
