Redemption of Pref Shares
I give below details of a change in the share capital of GlaxoSmithKline plc.
On 31 August 2001, 50,000 redeemable preference shares of £1 each in the
Company were redeemed at par in accordance with the Company's Articles of
Association. These preference shares were held by Morgan Stanley & Co. Limited
and Goldman Sachs International, as set out in the Listing Particulars
published on 5 July 2000 in connection with the merger of Glaxo Wellcome plc
and SmithKline Beecham plc. The £50,000 nominal amount of the preference
shares, which formed part of the authorised share capital of the Company, has
been converted into 200,000 ordinary shares of 25 pence each in the Company in
accordance with the Company's Articles of Association.
The Company's authorised share capital of £2,500,000,000 is now made up of
10,000,000,000 ordinary shares of 25 pence each.
