Results of Extraordinary General Meeting

The Board of Gulf Investment Fund plc (the "Company") announces that at the Extraordinary General Meeting ("EGM") held today at 11.00 a.m., (i) the resolution to approve the waiver of Rule 9 of the City Code on Takeovers and Mergers in connection with implementation of the Tender Offer (the "Whitewash Resolution") was passed as an ordinary resolution; and (ii) the resolution to authorise the Company to make market purchases of Ordinary Shares pursuant to the Tender Offer (the "Tender Offer Resolution") was passed as an ordinary resolution (together, the "Resolutions"). The results of the poll on the Resolutions are set out below. For the purposes of this announcement, unless otherwise defined, capitalised words and phrases shall have the meaning given to them in the circular to shareholders dated 23 November 2020 (the "Circular").

The results of the Tender Offer are expected to be announced on 14 December 2020. Further details of the Tender Offer are set out in the Circular.
