In conformity with the Transparency Directive's transitional provision 6 Halma
would like to notify the market of the following:


Halma p.l.c.'s capital consists of 372,899,568 ordinary shares with voting
rights. Halma p.l.c. holds 628,635 shares in Treasury.


Therefore the total number of voting rights in Halma p.l.c. is 372,270,933.


The above figure (372,270,933) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Halma p.l.c. under the
FSA's Disclosure and Transparency Rules.
