DIRECTORS' INTERESTS IN SHARES

This notice is given in fulfilment of the obligation under section 324(5) of the
Companies Act 1985 and DR3.1.2R.



The Company was notified on 20 April 2006 by the trustee of the Hammerson plc
Share Incentive Plan, that the trustee purchased 21,256 Ordinary shares of 25
pence each in Hammerson plc on 19 April 2006 at a price of £11.83 per share.
The shares were purchased for participants under the Free Shares element of the
Hammerson plc Share Incentive Plan.  The shares are held in a nominee account.



Awards of Free Shares under the Share Incentive Plan had been awarded on 19
April 2006 to eligible employees including the following directors:

pence each in Hammerson plc on 19 April 2006 at a price of £11.83 per share.
The shares were purchased for participants under the Partnership Shares element
of the Hammerson plc Share Incentive Plan.  The shares are held in a nominee
account.

the Hammerson plc Share Incentive Plan.  The shares are held in a nominee
account.



Awards of Matching Shares under the Share Incentive Plan have been awarded today
to eligible employees including the following directors:
