Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

Hargreaves Lansdown plc (the "Company") has received notification today from Mark Dampier, a PDMR, that on 6^th June 2011, he sold a total of 4,000 ordinary shares of 0.4 pence in the Company ("ordinary shares") and that his wife, Mrs Annette Dampier, a Connected Person, sold a total of 5,000 ordinary shares of 0.4 pence in the Company ("ordinary shares").  Both transactions took place at a price of 634.25p per share. The total number of ordinary shares sold represented 0.002% of the ordinary shares in issue.

Following this transaction, the beneficial shareholding of Mark Dampier (including his connected persons) is 1,014,187 ordinary shares representing 0.21% of the ordinary shares in issue.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.
