Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

On 15^th May 2012, the Company received notification that Mr Stephen Robertson, a Non-Executive Director, bought a total of 4,012 Hargreaves Lansdown PLC 0.4p ordinary shares at a price of 495.78 pence per share.  

The total number of ordinary shares purchased represents 0.0008% of the ordinary shares in issue.

Mr Robertson's resultant shareholding is 11,219 ordinary shares which represents 0.0024% of issued share capital.    

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.  The transaction took place in Bristol on 15^th May 2012.
