Director/PDMR Shareholding

The Company advises that, following a remuneration committee meeting held on Friday 23 November 2012, it allotted 186,658 ordinary shares of 10p each in the Company ("Ordinary Shares") in respect of awards made in 2009 under the Hargreaves Services plc Long-Term Incentive Plan ('the Plan').  The shares have been allotted to Hargreaves ESOT Trustee Limited until exercised by the beneficial holder at a future date.  The following Directors were allotted shares under the Plan at nil cost:

Application has been made to the London Stock Exchange for Admission of the newly allotted shares, which will rank pari passu with existing Ordinary Shares, to be admitted to trading on AIM as soon as is practicable.  

Following the above allotment, the Company's issued share capital consists of 27,493,279 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury.

The figure of 27,493,279 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
