Headlam Group plc - Acquisition of shares by the Headlam Employees
Share Trust

The Company has been notified today that on 29 September
1999, the trustees of The Headlam Employees Share Trust
acquired 16,163 Ordinary shares of 5p each (0.0002 per cent
of the issued share capital) to be held as part of the trust
fund to meet the obligation of the Trust at a price of 362
pence each.  The following directors are potentially
beneficiaries under the terms of the Trust:

S G Wilson
A J Brewer

The total shareholding of the Trustee company following this
transaction is 116,163 (0.0014 per cent) of the Company's
issued share capital.
