Headlam Group plc ('Headlam')
Disposal of Eclipse Czech Republic and German businesses
Headlam announces that on Friday 8 June 2001, it disposed of the shares held
in HPM a.s. ('HPM'), the Eclipse Czech Republic business involved in the
manufacturing and distribution of window blinds and window blind components.
The consideration for the disposal was a nominal amount, paid on completion,
with a deferred consideration of £240,000 payable in equal instalments over
the next twelve months. The net assets of HPM amounted to approximately £
950,000.
Furthermore, on the same day, Headlam completed the disposal of the business
and assets less certain liabilities of Haller Boden Sonnenschutzsysteme GmbH
('Haller Boden'), the Eclipse window blind distribution business located in
Germany for a nominal amount. The net assets of Haller Boden amounted to
approximately £100,000.
