Disposal of the business of Eclipse Blind Systems B.V.

Headlam announces that on Wednesday 12 December 2001 it completed the disposal
of the business and assets less certain liabilities of Eclipse Blind Systems
B.V., a business located in Holland involved in the distribution of blind
components.

The consideration for the disposal amounts to approximately £240,000 paid on
completion which will be applied to reduce Headlam's borrowings.
