HEADLAM GROUP PLC - DISCLOSURE OF INTEREST IN SHARES

Headlam Group plc announces that on 11 June 2001 it received notification that
Fidelity International Limited (FIL) and its direct and indirect subsidiaries,
being non-beneficial holders, now have a notifiable interest in 4,202,270
ordinary voting shares of 5p each of the Company. This represents 5.01 per
cent of the issued share capital of Headlam Group plc.
