Result of Extraordinary General Meeting and Return of Cash
At its Extraordinary General Meeting held earlier today, Shareholders voted in
favour of the proposed Return of Cash to Shareholders. The terms of the Return
of Cash gave Shareholders a choice between receiving the Return of Cash in the
form of income (Alternative 1) or capital (Alternative 2). In addition,
Shareholders were, (through Alternative 3), able to elect to receive further New
Ordinary Shares in lieu of their entitlement to a cash payment, subject to an
overall limit.
For each Existing Ordinary Share held, Shareholders received one Optional
Entitlement which allowed them to elect for Alternative 1, Alternative 2, or
Alternative 3. Shareholders were able to elect for a combination of the
Alternatives. In total, there were 14,143,020 elections for Alternative 1,
10,586,829 elections for Alternative 2, and 2,426,676 elections for Alternative
3. Of the Shareholders who elected for Alternative 2, there have been 9,364,125
acceptances of the Repurchase Offer. It is anticipated that the Repurchase
Offer will be made on 22 December 2004.
Applications have been made to the UK Listing Authority and the London Stock
Exchange for 17,731,164 New Ordinary Shares and 10,586,829 B Shares resulting
from the Share Reorganisation to be admitted to the Official List and to trading
on the main market of the London Stock Exchange in place of the Existing
Ordinary Shares. It is expected that dealings in Existing Ordinary Shares will
continue until 4.30 p.m. on 20 December 2004 and admission of the New Ordinary
Shares and the B Shares will become effective and dealings for normal settlement
will commence on the London Stock Exchange at 8.00 a.m. on 21 December 2004.
