ALLOTMENT OF SHARES

Henderson Diversified Income Trust plc (the "Company") announces that it has allotted 2,000,000 new ordinary shares of 1p each fully paid.  These shares were issued for cash at a price of 92.0p per share.

The total number of shares in issue is now 184,193,240. 

The total number of voting rights in the Company is now 184,193,240 in respect of the ordinary shares. The above figure 184,193,240 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Diversified Income Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
