In conformity with the Transparency Directive's transitional provision 6 we would like to notify the market of the following:

As at 30 November 2009, Henderson EuroTrust plc's issued share capital consists of 22,968,063 ordinary shares of 5p. The Company has 1,263,000 shares in Treasury.

Therefore, the total number of voting rights in Henderson EuroTrust plc is 21,705,063.

The above figure (21,705,063) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson EuroTrust plc under the FSA's Disclosure and Transparency Rules.
