Voting Rights and Capital

In conformity with Disclosure and Transparency Rule 5.6.1 we would like to notify the market of the following:

As at 30 June 2010, Henderson EuroTrust plc's issued share capital consists of 22,959,563 ordinary shares of 5p, which includes 2,082,638 shares held in Treasury (which do not have voting rights).

Therefore, the total number of voting rights in Henderson EuroTrust plc is 20,876,925.

The above figure (20,876,925) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson EuroTrust plc under the FSA's Disclosure and Transparency Rules.
