NOTIFICATION OF SALE OF SHARES OUT OF TREASURY (LR 12.6.4)

AND

ALLOTMENT OF NEW SHARES

Henderson High Income Trust plc (the "Company") announces that 250,000 ordinary shares of 5p each held by the Company in treasury have today been sold at a price of 121.2p per ordinary share.  The Company has no ordinary shares remaining in treasury. 

In addition, the Company has allotted 650,000 new ordinary shares at a price of 121.2p per ordinary share.

The total number of ordinary shares in issue is now 86,485,744. 

Each share has one vote; therefore the total number of voting rights in the Company is 86,485,744.

The above figure (86,485,744) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson High Income Trust plc under the FSA's Disclosure and Transparency Rules.
