                             ANNUAL GENERAL MEETING





Henderson High Income Trust plc hereby gives notification that at the Annual
General Meeting of the Company held today all the resolutions, as set out in
full in the Notice of meeting dated 22 March 2007, were duly passed on a show of
hands.    Two of the resolutions were special, one of which generally authorised
the Company to make market purchases of its own ordinary shares up to a maximum
of 14.99% (equivalent to 12,866,778 ordinary shares as at today's date).



The full text of the resolutions can be found in the Notice of Annual General
Meeting contained in the Report & Accounts for the year ended 31 December 2006,
copies of which are available for viewing at the Document Disclosure Department
of the Financial Services Authority.



The Company also announces the retirement from the Board of Sir John Stanley
with effect from the close of today's Annual General Meeting.  The Board would
like to thank Sir John for his valued contribution to the Company.
