                  Results of the Extraordinary General Meeting


At the Extraordinary General Meeting held this morning, the Ordinary Resolution
put to the meeting was duly passed.  The Resolution approved the Proposals and
gives the Directors the authority to allot such New Ordinary Shares as are
necessary to implement the Proposals, up to an aggregate nominal value of
£5,000,000.

A further announcement will be made on 30 April 2007 setting out the number of
New Ordinary Shares which will be issued to those Martin Currie Income & Growth
Trust Shareholders who elected, or are deemed to have elected, to receive New
Ordinary Shares under the Proposals.

Terms used in this announcement shall, unless the context requires otherwise,
bear the same meaning given to them in the Company's circular to shareholders
dated 22 March 2007.
