In conformity with the Transparency Directive's transitional provision 6 we would like to notify the market of the following:

As at 31 August 2010 Henderson High Income Trust plc's capital consisted of 87,485,744 ordinary shares of 5p with voting rights. 

Therefore, the total number of voting rights in Henderson High Income Trust plc is 87,485,744.

The above figure (87,485,744) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson High Income Trust plc under the FSA's Disclosure and Transparency Rules.
