ALLOTMENT OF SHARES

The Company announces the allotment on 20 January 2015 of 75,000 ordinary shares of 1p each fully paid for cash because of investor demand at a price of 128.125p per share ("New Shares"). The New Shares rank pari passu with the existing ordinary shares. Application is now being made for the New Shares to be admitted to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities, and dealings are expected to commence on or around 26 January 2015. The number of ordinary shares in issue is now 76,521,550.

The total number of voting rights in the Company is now 76,521,550 in respect of the ordinary shares. The above figure (76,521,550) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson International Income Trust plc under the FCA's Disclosure and Transparency Rules.
