Placing, Open Offer and Offer for Subscription of C Shares

and

Implementation of a new Placing Programme of Ordinary Shares

Further to the announcement on 23 September 2013, the Company has today published a prospectus (the "Prospectus") in relation to a proposed Open Offer, Placing and Offer for Subscription of C Shares (together the "Issue") and implementation of a new placing programme (the "Placing Programme").

The Company has also today published a circular (the "Circular") convening a General Meeting to propose resolutions to seek authorities to allot C Shares and new Ordinary Shares, to disapply pre-emption rights in respect of the issue of Ordinary Shares and C Shares and to adopt new articles of association to incorporate the rights of the C Shares.

The Prospectus and Circular will shortly be available for inspection at the National Storage Mechanism which is located at www.hemscott.com/nsm.do and also on the Company's website which is located at http://www.hendersoninternationalincometrust.com
