Interim Management Statement
for the period from 31 October 2013 to 19 March 2014

Henderson Opportunities Trust plc ('the Company') hereby confirms that, as announced in the Company's results for the year ended 31 October 2013, the Board has agreed a revision to the Company's accounting policy and, with effect from 1 November 2013, all investment management fees and finance charges will be charged 70% to the capital return and 30% to the revenue return, based on the Board's expected long-term split of total returns. Any performance fee will be charged wholly to capital.

No other material events or transactions in respect of the Company have taken place during the period. 

As announced in the Company's results for the year ended 31 October 2013, subject to Shareholder approval at the Annual General Meeting to be held on 29 April 2014, a final dividend of 7.2p per ordinary share, in respect of the year ended 31 October 2013, will be paid on 2 May 2014 to Shareholders on the Register of Members on 28 March 2014.

The Board would like to remind holders of the Company's subscription shares that this year is the final conversion opportunity. In summary, Subscription Shareholders can exercise their right to convert at a price of 936p in the 30 days prior to the Annual General Meeting on 29 April 2014. Full details have been sent to Subscription Shareholders with the 2013 Report and Financial Statements and are also available on the Company's website www.hendersonopportunitiestrust.com together with a Questions & Answers document about the final conversion opportunity.
