Henderson Opportunities Trust plc ('the Company') hereby gives notification that, at the Annual General Meeting of the Company held earlier today, all the resolutions, as set out in full in the notice of meeting dated 29 January 2009, were duly passed.  These included a resolution that the Company continue.  Three of the resolutions were special resolutions, one of which gave authority to the Company to make market purchases of its own shares up to a maximum of 1,230,423 ordinary shares (being 14.99% of the ordinary shares in issue at 19 March 2009).
