The Henderson Smaller Companies Investment Trust plc hereby confirms that at the Annual General Meeting of the Company held on 26 September 2008 the special resolution to adopt new Articles of Association, as set out in full in the Notice of Meeting dated 28 August 2008, was duly passed on a show of hands.  

The full text of the resolution can be found in the Notice of Annual General Meeting contained in the Circular dated 28 August 2008, copies of which are available for viewing at the Document Disclosure Department of the Financial Services Authority.

A copy of the new Articles of Association has been submitted to the UK Listing Authority and is available for inspection at the UKLA's Document Viewing Facility, which is situated at:
