DIRECTOR RETIREMENT



Henry Boot plc announce that with effect from 30 June 2006, Mr A P Cooper will,
for personal reasons, be stepping down from his position as Group Finance
Director and Company Secretary of the Company.



The board have already instigated steps to find a suitable replacement, and will
announce the details of his successor in due course.
