Henry Boot PLC: Resignation of Director

Mr. David H. Boot, 74, resigned as a non-executive director of Henry Boot PLC at
the conclusion of the board meeting held on Friday 24th March 2006. He was
appointed to the board in 1960 and was non-executive chairman from 1987 to 1996.
The board of Henry Boot PLC wishes to place on record its thanks for his
enormous contribution to the success of the company and for his outstanding
record of service.
