                   NOTIFICATION OF MAJOR INTERESTS IN SHARES

Henry Boot PLC

The company has today been notified that as a result of various changes in the
beneficial and non-beneficial holdings of Mr. J.H. Boot, a previous holder of
more than 3% of the total percentage holding of the issued class, his beneficial
holdings have reduced by 75,267 from 847,614 to 772,347 and his non-beneficial
holdings have increased by 11,250 from 175,334 to 186,584. His beneficial
holdings now constitute 2.96% and his non-beneficial holdings now constitute
0.71% of the total percentage holding of the issued class. These changes are the
result of a sale of 4,500 shares beneficially held with the remaining net of
these transfers now being held for the benefit of the family who have attained
the age of 18.
