Annual General Meeting, 21 April 2010
At the AGM held on 21 April 2010 all resolutions were passed, including those detailed below:
Special Business
· Shareholders voted to approve the continuation of the Company.
The full text of the resolution is as follows:
"7. That, pursuant to article 174 of the Articles of Association of the Company, the Company will continue to operate as an investment trust company until the conclusion of the Annual General Meeting of the Company to be held in 2013."
· Shareholders authorised the Company to renew its share buy back authority.
Shareholders approved a special resolution renewing the Company's authority to make market purchases of up to 14.99 per cent of the Company's issued share capital, being 12,115,410 ordinary shares of 25p. Such authority will expire at the conclusion of the AGM to be held in 2011, unless previously varied, revoked or renewed.
· Adoption of New Articles of Association
Shareholders approved a special resolution to adopt new Articles of Association which take account of further changes in company law brought about by the coming into force of the final parts of the Companies Act 2006 and the implementation of the Shareholders' Rights Directive.
