Appointment of new Directors

As announced on 5 April 2004, the Board of HgCapital Trust plc has appointed Mr
Roger Mountford and Mr Andrew Murison as non-executive directors, with effect
from 20 April 2004.

Andrew Murison is Chairman of the J P Morgan Fleming Continental European
Investment Trust and a Director of Aberdeen Growth Opportunities Venture Capital
Trust plc.  Roger Mountford has no other directorships in publicly quoted
companies.

Neither Mr Mountford nor Mr Murison had any interest in the Company's ordinary
shares at the date of their appointment.  Neither had any details to disclose
under paragraph 6.F.2(b) to (g) of the UKLA Listing Rules.
