CONVERSION BETWEEN SHARE CLASSES & ADMISSION OF NEW SHARES
Conversion requests
The table below summarises the aggregate number of shares of each class in relation to which the Company has received requests to convert such shares into shares of another class with effect from 1 March 2013 (the "Conversion Day").
From Sterling Shares to US Dollar Shares 22,092,297
From Euro Shares to Sterling Shares 129,625
From US Dollar Shares to Sterling Shares 1,184,056
Conversion ratios
The net asset value per share of each class as at the Conversion Day was as follows:
£1.8116 in the case of Sterling Shares
€1.7475 in the case of Euro Shares
$1.7305 in the case of US Dollar Shares
The spot conversion rates used for these conversions were:
GBP/USD: 1.5175
EUR/GBP: 0.8609
USD/GBP: 0.6590
On the basis of the above, the conversion ratios are as follows:
1.588565 US Dollar Shares for every one Sterling Share
0.830411 Sterling Shares for every one Euro Share
0.629498 Sterling Shares for every one US Dollar Share
Admission of new shares
Application has been made for 33,910,998 US Dollar Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange. It is expected that such listing will become effective and that dealings in such shares will commence on 4 April 2013.
Results of conversion
With effect from 4 April 2013, the issued share capital of the Company (excluding 28,343,410 Sterling shares held in treasury and subject to there being no further transactions in the Company's shares during the intervening period in accordance with the share buy back programme announced on 28 May 2012) will be as follows:
Sterling Shares: 447,596,127
Euro Shares: 9,221,755
US Dollar Shares: 116,371,222
All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 573,189,104 (excluding 28,343,410 Sterling Shares held in treasury and subject to there being no further transactions in the Company's shares during the intervening period in accordance with the share buy back programme announced on 28 May 2012) and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
