TOTAL VOTING RIGHTS

As at 30 April 2015, the issued share capital of the Company (excluding 43,394,255 Sterling Shares and 3,950,849 US Dollar Shares held in treasury) was as follows:

Sterling Shares:                           391,774,968

US Dollar Shares:                        36,000,295

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 427,775,263 (excluding 43,394,255 Sterling Shares and 3,950,849 US Dollar Shares held in treasury) and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
