                Result of EGM, Board Changes, Change of Name,

      Interest in Share Capital and Change of Accounting Reference Date


The Company is pleased to report that, at the Extraordinary General Meeting
held today, both resolutions were duly passed.


Accordingly:


  * the sale of the entire issued share capital of Superframe Limited and
    Retail Rescue Limited to Overstrand Services Limited has been completed;


  * Andy Gilbert and Shelley Gilbert have resigned as directors of the
    Company with immediate effect; and


  * the change of name of the Company to Highway Capital plc will become
    effective tomorrow, 25 January 2001, upon the issue by Companies House of
    a Certificate of Incorporation on Change of Name.


Following completion of the above sale, the disposal by Andy Gilbert of his
holding of 2,375,901 ordinary shares in Superframe Group plc became
unconditional.


The accounting reference date of the Company has today been changed to 28
February in each year so that the next published audited accounts of the
Company will cover the 14 month period from 1 January 2000 to 28 February
2001.
