The Board of Hiscox plc (the 'Company' and 'Hiscox') confirms that all resolutions proposed at its Annual General
Meeting held today, 20 June 2006, were duly passed by shareholders, each on a show of hands. Proxies were received in
respect of 284,286,702 Hiscox shares representing 72.3% of Hiscox's shares in issue.
392,949,565 ordinary shares were in issue as at 20 June 2006, each carrying one vote.
