Disclosure and Transparency Rule 5.6.1

Total Voting Rights

Hamilton, Bermuda - In conformity with Disclosure and Transparency Rule 5.6.1 Hiscox Ltd advises that as at 31 March 2014 its issued capital consisted of 330,543,102 Ordinary Shares of 6p each entitled to one vote per share.

In addition the following three further classes of share were in issue, but have no voting rights:

i.    330,501,032 Deferred Shares of 2474/7921p each

ii.    261,555,693 C Shares of 0.01p each

iii.   93,647,894 D Shares of 0.01p each

A total of 14,369,840 Ordinary Shares of 6p each are held in Treasury.

Therefore, the total number of voting rights in Hiscox Ltd is 316,173,262. This figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, Hiscox Ltd under the Disclosure and Transparency Rules.
