DIRECTORS' SHAREHOLDINGS
The Company has been notified of the following transactions in its Ordinary
shares of 10 pence each ('the Ordinary shares') by Terry Duddy and Richard
Ashton, both of whom are directors of the Company.
As a result of the demerger from GUS, certain participants in the former GUS
Executive Share Option Scheme have a limited period after the demerger within
which to exercise options to acquire shares. This period, as disclosed in the
demerger prospectus, is within six months of 4 October 2006, being the date of
court sanction of the GUS demerger scheme of arrangement. A further restriction
arises due to the close period that will apply with effect from the end of the
accounting period (3 March 2007).
Mr Duddy exercised options on 27 February 2007 and sold, on the same date, all
of the 399,212 Ordinary shares thereby acquired on the London Stock Exchange at
a price of 422.1464 pence per share. Mr Duddy's continuing personal interest in
the Ordinary share capital of the Company therefore remains unchanged at
1,249,349 Ordinary shares (comprising beneficial shareholdings of 526,773
Ordinary shares and already vested interests in 722,576 Ordinary shares under
the Reinvestment Plan).
Mr Ashton exercised options on 27 February 2007 and sold, on the same date,
67,554 of the 158,920 Ordinary shares thereby acquired on the London Stock
Exchange at a price of 422.1464 pence per share. Mr Ashton's personal interest
in the Ordinary share capital of the Company has therefore increased by 91,366
Ordinary shares to 397,733 Ordinary shares (comprising beneficial shareholdings
of 166,690 and already vested interests in 231,043 Ordinary shares under the
Reinvestment Plan).
The notifications on behalf of Messrs Duddy and Ashton were received by the
Company on 27 February 2007.
Notification of these transactions is now made in accordance with both section
324 of the Companies Act 1985 and Disclosure Rule 3.1.4R.
