TRANSACTION ONE - MFI FURNITURE GROUP PLC PERFORMANCE SHARE PLAN

We advise that on 26 May 2005, certain executive directors of the Company have
been granted awards of Shares under the MFI Performance Share Plan ('the PSP')
subject to performance conditions to be measured over a three year period. The
