DIRECTORS' SHAREHOLDINGS.


We hereby notify you that we were advised on 23 March 2001 that the Trustee of
the MFI Employee Share Trust ('the Trust') acquired 850,000 MFI Furniture
Group Plc ordinary 10p shares ('MFI shares') on 22 March 2001 at 89 pence per
share in connection with the operation of the MFI Furniture Group Plc
Performance Share Plan ('the Plan) and the MFI Furniture Group Plc Deferred
Bonus Plan ('the DB Plan').


All the executive directors of MFI Furniture Group Plc ('the Company') are
deemed to be interested in all of the shares held by the Trustee of the Trust
as potential beneficiaries of the Trust.


The executive directors of the Company have been allocated awards of MFI
shares ('the Awards') under the Plan. Under the terms of the Plan, the
executive directors have a contingent right to receive the MFI shares subject
to achievement of performance targets.


The executive directors (excluding Martin Clifford-King) have today been
allocated awards of MFI shares ('the Deferred Bonus Awards) under the DB Plan.
Under the terms of the DB Plan, the executive directors have a contingent
right to received MFI shares in the Company.


The Company was therefore notified 22 March 2001 of the interests of the
executive directors named below in the ordinary shares of the Company by
virtue of such Awards and Deferred Bonus Awards being made, such notification
having been given in accordance with Section 324 of the Companies Act 1985.
