Acquisitions in Egypt and Czech Republic
ITE Group Plc, ('ITE'), the international exhibitions
specialist, is pleased to announce the further expansion of its
Central European and Middle Eastern operations through two
strategic acquisitions:
ITE's subsidiary, M.E.C. Mediterranean Exhibitions and
Conferences Limited, has acquired a 50% shareholding in ACG and
ITF International Trade Fairs Limited ('ACG'). An initial
payment of US$1.5 million (£900,000) has been paid with further
payments based on a multiple of 7 times the average profits
after tax for the two years to 31 December 2000. The total
consideration is expected to be approximately US$ 6 million
(£3.6 million).
ACG will organise 7 exhibitions in Cairo in 1999 with a turnover
of approximately US$4 million (£2.4 million) with net exhibition
space sales of 18,000 sq. metres. Due to the launch of new shows
and growth in its existing shows ACGs net exhibition space
sales are forecast to rise to over 25,000 sq.ms. in the year
2000. ACG organises exhibitions with themes covering a range of
industry groups such as vehicle spare parts, plastics, printing,
oil and gas, machine tools and construction.
ITE has also entered into an agreement to acquire 50% of Incheba
Praha ('Incheba'), Prague, Czech Republic, and a nominal
shareholding in Incheba A.S., Bratislava, Slovakia. The total
consideration is Czk187.5 million (£3.5 million) payable in
January 2000 with an adjustment based on 7.5 times the pre-tax
profits of Incheba for the year to 31 December 1999.
Incheba will organise 16 exhibitions in Prague this year with an
expected turnover of Czk140 million (£2.6 million) with net
exhibition sales of 42,000 sq. metres with themes covering
numerous trade sectors including chemicals, pharmaceuticals,
computer technology, motor cars, machine tools, security,
heating and transport.
