Director's Share Dealing

IG Group Holdings plc ('IG', or the 'Company'), was notified on the 4th April
2008 of the following share transfer made on the same day by Peter Hetherington,
a Director of the Company:

      909,900 ordinary shares of 0.005 pence were transferred to the discretionary
      family trust of Peter Hetherington at a price of 353.00 pence.

As a result of this transaction Peter Hetherington has reduced his sole
beneficial interest in the Company's ordinary shares of 0.005 pence by 909,900
representing 0.27% of the issued class of shares. After the transactions Peter
Hetherington has a potential interest as a beneficiary of the trust of a total
of 909,900 ordinary shares of 0.005 pence in the Company, representing 0.27% of
the issued class of shares.
