that after close of dealing on 22 March 2000 each of the following Directors of
this Company acquired a beneficial interest in the number of new Ordinary shares
of 25p each in IMI plc shown against his name, namely options granted under the
IMI Executive Share Option (1995) Scheme at a subscription price of 226.6p.
