                  Inchcape plc - Director's Interest in Shares



On 19 September 2006, Halifax EES Trustees International Limited, as trustee of
the Inchcape Employee Trust (the 'Trust') transferred 28,308 Ordinary Shares of
25p each in the Company to individuals exercising awards granted under the
Inchcape Deferred Bonus Plan.



As potential beneficiaries under the Trust, each executive director of the
Company, being Andre Lacroix and Barbara Richmond, is treated as being
interested in all shares held by the Trust.
